1. NAME OF THE ASSOCIATION
LAKE TANGANYIKA DEVELOPMENT AND RELIEF ORGANIZATION (TADERO)
2. PERMANENT ADDRESS
The address of the office shall be P.O. Box 1136 KIGOMA.
3. HEAD QURTERS OF THE ASSOCIATION
The head quarters of the association shall be Kigoma urban municipal unless the General Assembly shall decide otherwise.
4. CROWN OF THE ASSOCIATION
The crown of the association is a person in the boat voyaging along the Lake Tanganyika.
This is to show how the association is involving with activities of eradicating poverty to people living along the Lake Tanganyika.
Some people living along Lake Tanganyika involve in drug abuse while they continue with fishing or traveling in the Lake. TADERO shall involve with them in giving them education and counseling so as to stop that behaviour.
5. INTRODUCTION
TADERO is a development association and fight for rescuing life to people around the lake Tanganyika. Also the Organisation does not involve in politics, religions and, or tribalism. But its members are concerned with those activities above. However TADERO works together with the government to make sure that people attain better education, economy and health.
This Organisation has been established by citizens who are members. It has started on 05/07/1999 and registered on 23/03/2000 under registration number 10231 under the NGO’s ordinance of 1954. And this Organisation is run by people who are members.
6. OBJECTIVES OF THE ASSICATION
(i) To improve life and well being of the people by fighting over drug abuse and alcoholism
(ii) To improve level of education by mobilizing people to build primary and secondary schools.
(iii) To rescue people from deaths resulting from communicable diseases like cholera, HIV/AIDS, and the coming of refugees.
(iv) To corporate with other associations in solving life problems of the people.
(v) To conserve the environment by encouraging people to plant trees and adopting new farming technology.
(vi) To have some expatriate who will provide seminars to people on how to preserve environment in and out of Lake Tanganyika.
(vii) To give education on other fuel resources means.
(viii) To give education fishermen on how to dry small fish well.
(ix) The association shall involve in making women to know their position in the society in solving their problems and fight over gender equality in many aspects.
(a) To improve the well being of the fishermen in Lake Tanganyika by giving them seminars on how to use modern fishing tools and drying small fish well.
(b) The association shall involve in establishing small groups for credits and savings so as to raise the income earning capacity of the people.
(c) To give leans and credits to people living near Lake Tanganyika especially those who have shown efforts on developing themselves.
7. MEMBERSHIP
(a) Any person can be a member. The only thing required is to follow the programs of the association.
(b) KINDS OF MEMBERS
(i) Single person
(ii) Group of persons who have similar goals like those of this association
( c) OBLIGATIONS OF THE MEMBERS
(i) To pay entrance fee of TShs.5,000/= and membership fee of TShs.8,000/= yearly.
(ii) To know the programs of the association and also to safeguard the constitution of the association and where.
(iii) To attend all meetings at his/her branch and pay all the contributions intended by his branch.
8. MANAGEMENT
The association shall be managed by the Executives committee which will be under the Executive Director. However the association shall have Board of Directors consisting (15) fifteen members who have been voted in the General Assembly among which the Board chairman, Vice chairman, secretary, Treasurer, and Executive Director shall be chosen.
(A) EXECUTIVE COMMITTEE
Executive committee shall be the only organ for top management of the association and it shall be the only organ of giving top decisions before the Board of Directors. However executive committee has the powers to give decisions to all maters which are out of the constitution to all matters which are out of the constitution.
(i) Executive Director will be the Chairperson of the General Assembly, and shall be the Secretary General of the Board of Directors and Trustee Board.
(ii) Vice Executive Director shall preside in absence of Executive Director due to journey, sickness, death or resignation. Vice Executive Director is the sole assistant of the director.
(iii) Secretary shall be responsible for all branch activities. Also shall help the Board secretary to arrange meetings of the Board and General Assembly.
(iv) Vice Secretary shall help the secretary in all activities when the secretary resign or died. Those shall give the report in the Board of Directors meetings.
(B) BOARD OF DIRECTORS
(i) Shall be the only organ which makes follow up on policy making and receives report of activities from Executive committee. The chairman of the Board is a member of Executive committee in order to enable him or her to see each and everything happen in operation of the Organization.
This Board has fifteen (15) members who have been elected in the General Assembly and all members of Executive committee will be elected from board members. The meetings is three times in a year. They pass through the constitution and arrange the General Assembly.
Leaders of the Board shall work in the office for the period of five years and there after election shall be held.
(ii) Board has the following committees:-
(a) Education committee, fishing committee Agriculture, committee, women and development committee, Health committee. Youth and AIDS committee
Each committee has five members. These committee shall meet every month.
(b) Board’s work is to discuss the opinions made by executive committee before the preparation of Board meeting.
(c ) GENERAL ASSEMBLY
There shall be General Assembly. Members of it are all active members of the association. They shall meet once a year.
It shall receive all Board of Directors reports and pass them, to make election if it is allowed according to the constitution, observers and visitors shall be invited if need arise. For the meeting to carry on members shall not be below (50%) fifty percent.
(D) Secretary shall write letters to members which shall be authorized by the General
Assembly.
9. BOARD OF TRUSTEES
It shall be the only advisory board to the association. It shall keep and take control of all properties of the association when some misunderstandings will arise in the association.
It has five to ten members who have been appointed by the Board of Directors and authorized by the General Assembly. This Board shall be amended after every three years if the General Assembly would decide to do so.
VARIOUS COMMITTEES
i) Education committee
ii) Fishing, Agriculture and Environment committee
iii) Development and women committee
iv) Health committee
v) Youth, HIV/AIDS and Drug abuse committee.
Each committee has three members (chairman, secretary and one representative). Each committee will meet once every month.
10. BRANCHES
(i) Apart from head quarters here in Kigoma manisparity there are three branches opened in Dar-es-Salaam, Bugamba and Kalilani.
Every branch has responsibility of experessing policies of the association to people and various donors but such branches have no responsibilities of asking grants, funds or only help from the donors unless they have got permission from the executive director.
(ii) MANAGEMENT OF BRANCHES
All branches have their leaders, members shall represent their branches at the General Assembly.
11. RESPONSIBILITIES OF LEADERS:
(i) EXECUTIVE DIRECTOR:
- Shall be the chairman of General Assembly
- Shall be the top leader of the association and shall be the top representative of the association.
- Shall be top executive of the association and shall deal with all various activities of the organisation.
- Shall be a secretary of all the meetings of the Board of Trustees and Board of Directors.
(ii) ORGANISATION SECRETARY:
- Shall lead the meetings of General Assembly.
- Shall give report in the General Assembly.
- Shall deal and lead increasing awareness.
- Shall express people of the area concerned to work in development projects.
(iii) ASSETS AND PROCUREMENT
- Since the Executive Director is the top leader of the association, therefore, he shall be the most controller of the assets of the association in collaboration with General Secretary and Treasurer of the association
- Every financial transaction shall be authorized by the three people above. That means all money received and expended by the Organization.
- They shall give financial report on income and expenditure in the Board of Directors and the General Assembly.
- In finding donors, Executive Director shall be responsible and will sign . all agreement between Organization and Donors
(iv) ACCOUNTS AND FINANCES
- All movable assets of the association shall be checked by the Board of Directors before the General Assembly.
- A recognised auditing firm shall be appointed by the General Assembly to audit the accounts of the association.
- Important books to be kept shall include the following, Cash book, Petty cash book, Bank Account, preparations of the Bank Reconciliation and other necessary books as will be seen.
- Bank Reconciliation will be done quarterly or according to the needs of the donor.
- Board of Directors shall decide upon the number of signatories and the mode of operating accounts.
- Any withdrawal and spending shall involve the executive committee.
- Activity plan shall work as guideline for amount to be withdrawn and their spending.
- The books of accounts shall be kept at the registered office of the Organization or as decided by the Board of Directors.
- Handling of the accounting documents shall be done by a qualified accountant (Treasurer).
- Accounting summaries shall be produced according to prescribed standards by the recognised National Board Accountants and Auditors.
(v) BOARD OF DIRECTORS
(a) It shall deal with all activities basing on respect of association leaders. Any leader who will be against this, shall be punished by the Board of directors.
Any leader who will be dismissed shall not be given any fringe benefits.
(b) Shall make policies and receive reports from different committees.
(c) Shall stand on all activities conducted by branches.
(d) Shall stand on allowing opening of new branches.
(e) Shall meet before the General Assembly.
(vi) TRUSTEE BOARD
(a) Shall advise the association on how to plan for development.
(b) The chairman of the board shall be the great advisor of this association
(c) The board shall work together with the Executive Director to express to donors over the activities of the association.
(d) Shall hold all the properties during time of misunderstanding in the association.
12. RIGHTS OF MEMBERS
(i) To express personal views on any matter which brings doubts in the association.
(ii) A member has rights to take an agenda to the executive of the branch for the discussion during the general meeting of the branch.
(iii) Members shall get first priority on loans, short credits and other helps from the association.
(iv) A member has the right of being listened for all matters relating to the association in the branch.
NB: If a member resign off the association shall not be given all the contributions he/she paid.
13. MEETINGS:
(i) BRANCH
Each branch shall have general meeting at branch level every and of four months such meeting shall include all members in the branch level. Minutes of each meeting shall be sent to headquarters of the association.
(ii) BOARD OF DIRECTORS
Shall meet three times a year.
(iii) BOARD OF TRUSTEE
Shall meet two times a year.
(iv) GENERAL ASSEMBLY
Shall meet only once a year
(v) EMERGENCE MEETINGS
According to this constitution such meetings shall be held anytime according to the needs arise.
(vi) AMENDMENTS
General Assembly is the only organ having power of making any amendments in the constitution after the opinions of the Board of Directors.
In every three years time, the Board of Directors shall pass through the constitution and see if there is any need for amendments then they shall express their desire to the General Assembly on reducing or increasing any thing in this constitution.
15. DISOLUTION
(i) The association shall stop the operations when it shall be seen that it goes contra verse to laws of the land which are affiliating the (NGO’s) formation.
(ii) If the association is bankrupt then it shall stop operations.
(iii) Since the association’s operations depend on the contributions from members and donors, therefore, if all will prove failure to provide money then the association shall stop its operations.
(iv) However, the association when will face some unsolvable conflicts shall close down its activities.
